Terms of Service

These Terms of Service (“Terms”) govern access to AuditFetch software, websites, release packages, licensing services, and related support (the “Services”) provided by AuditFetch, LLC. By purchasing, accessing, or using the Services on behalf of an organization, you represent that you can bind that organization to these Terms.
The service
AuditFetch helps collect, organize, validate, review, and package compliance evidence. It does not provide legal, accounting, or audit advice; certify compliance; guarantee auditor acceptance; or replace professional judgment. Connector and capability availability is identified as GA, Preview, or test-only in the published capability matrix.
Accounts and authorized use
You are responsible for authorized users, credentials, systems under your control, and the accuracy and legality of instructions and data supplied to the Services. You may use the Services only for lawful internal business purposes and only on systems and data you are authorized to access.
Subscriptions, renewal, and cancellation
Paid plans are priced per organization, billed monthly in U.S. dollars, and automatically renew each month until canceled. The price and billing frequency appear before purchase. You may cancel future renewals online through the Stripe customer portal, or by emailing info@auditfetch.com from the subscription email address. We will confirm cancellation. Access continues through the paid billing period unless we state otherwise. The complete Subscription, Cancellation, and Refund Policy is part of these Terms.
Fees and taxes
You authorize recurring charges to the payment method provided through Stripe. Prices exclude taxes unless stated otherwise. You are responsible for applicable taxes other than taxes on AuditFetch's income. We will give advance notice of price changes, which apply no earlier than the next renewal after the stated effective date.
Customer data and privacy
You retain ownership of customer data. You grant AuditFetch only the limited rights needed to provide, secure, and support the Services at your direction. AuditFetch Local keeps evidence and credentials in your environment by default. Our handling of personal information is described in the Privacy Policy.
Confidentiality
Each party will protect the other party's non-public information using reasonable care and use it only to perform or receive the Services. This obligation does not cover information that is public through no breach, already known without restriction, independently developed, or rightfully received from another source. A party may disclose information when legally required after giving notice when permitted.
Acceptable use
You may not use the Services to break the law; access systems without permission; introduce malicious code; evade technical or licensing limits; interfere with service integrity; misrepresent generated evidence; or reverse engineer, resell, or distribute the Services except where applicable law or a written agreement expressly permits it.
Ownership and feedback
AuditFetch and its licensors retain all rights in the Services, documentation, designs, and software other than customer data and third-party components. Subject to payment and these Terms, AuditFetch grants you a limited, non-exclusive, non-transferable right to use the purchased Services during the subscription. You may provide feedback, and AuditFetch may use it without restriction or identifying you publicly.
Changes, suspension, and termination
We may modify the Services and these Terms, but will not materially reduce a paid plan during its current billing period without notice. We may suspend or terminate access for nonpayment, security risk, unlawful use, or material breach. You may stop using the Services and cancel renewal at any time. Provisions that by their nature should survive termination—including payment, ownership, confidentiality, warranty disclaimers, and liability limits—will survive.
Warranty disclaimer
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” AuditFetch disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation or any specific audit or compliance outcome.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data. AuditFetch's aggregate liability arising from the Services will not exceed the fees paid to AuditFetch for the affected Services during the twelve months before the event giving rise to the claim. These limits do not apply where they are prohibited by law.
Governing law and venue
These Terms, and any dispute arising out of them or the Services, are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state courts located in Mecklenburg County, North Carolina and the United States District Court for the Western District of North Carolina have exclusive jurisdiction over any such dispute, and each party consents to personal jurisdiction and venue there and waives any objection based on inconvenient forum. Nothing in this section deprives a consumer of the protection of mandatory law in their place of residence, and either party may seek injunctive relief for intellectual-property or confidentiality claims in any court of competent jurisdiction.
General terms
These Terms and any applicable written order form are the entire agreement for the Services and replace prior discussions on that subject. If a provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent except with a merger or sale of substantially all relevant assets; AuditFetch may assign them as part of a corporate transaction. Neither party is liable for delay caused by events beyond reasonable control.
